Terms of Use

By accessing or using the Bridge BioHealth platform, website, AI tools, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Bridge BioHealth Consulting LLC ("Bridge BioHealth," "we," "us," or "our"), a limited liability company registered in the United States.

Bridge BioHealth provides AI-powered biotech consulting tools, regulatory pathway analysis, clinical trial intelligence, M&A due diligence support, grant writing assistance, manuscript writing services, and the BioShare Marketplace — a connection platform for scientific resources.

Our AI tools generate analyses, reports, and recommendations based on user-submitted information. These outputs are for strategic decision-support purposes only and do not constitute professional regulatory, legal, financial, medical, or investment advice.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Platform.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Our AI tools (including the FDA Pathway Generator, Go/No-Go Decision Engine, M&A Pre-Acquisition Check, AI Lead Evaluation, and Grant Readiness Score) generate automated analyses based on your inputs. These analyses are NOT a substitute for professional advice.

Bridge BioHealth is not a registered investment advisor, broker-dealer, law firm, accounting firm, or regulatory consulting firm. Our AI outputs do not constitute FDA regulatory advice, legal counsel, fairness opinions, financial advice, or medical advice.

Probability estimates and benchmark comparisons are based on published industry research and statistical modeling. They do not predict individual outcomes.

You acknowledge that you will independently verify all AI-generated outputs with qualified professionals before making any business, clinical, regulatory, financial, or legal decisions.

CONFIDENTIALITY IN TOOLS: Do not submit company names, ticker symbols, patient-identifying information, or material non-public information into our AI tools. Use code names as instructed. We are not responsible for the consequences of submitting sensitive information.

Bridge BioHealth operates as a non-custodial connection platform. We do not take custody of, store, transport, or handle any biological materials, compounds, data, IP, or other resources listed on the Marketplace.

All transactions, agreements, and exchanges occur directly between the listing party and the acquiring party. Bridge BioHealth is not a party to any transaction facilitated through the Marketplace.

Users are solely responsible for ensuring that all listed resources comply with applicable laws and regulations, including export controls, biological material transfer agreements (MTAs), and institutional requirements.

Only resources with at least 12 months remaining to expiry may be listed. Controlled substances, materials prohibited under applicable law, and patient-identifying information may not be listed.

Bridge BioHealth charges a platform fee on completed transactions as described in our pricing documentation.

All content on the Platform, including text, graphics, logos, AI models, software, and documentation, is the property of Bridge BioHealth or its licensors and is protected by intellectual property laws.

You retain ownership of all data and content you submit to the Platform. By submitting content, you grant Bridge BioHealth a limited license to process and use your submissions solely to provide the requested services.

AI-generated reports and analyses are provided to you for your business use. You may not resell, redistribute, or commercially exploit AI-generated outputs without our written consent.

The Bridge BioHealth name, logo, and all associated marks are trademarks of Bridge BioHealth Consulting LLC.

Certain features of the Platform require payment. All prices are listed in USD unless otherwise stated.

Subscription plans may be cancelled at any time with 30 days written notice. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial billing periods, except where required by law.

One-time report purchases are subject to our 7-day satisfaction guarantee. If you are not satisfied with a report, contact us within 7 days for a full refund.

We use Stripe as our payment processor. By making a payment, you agree to Stripe's Terms of Service. We do not store payment card information on our servers.

You agree not to: (a) use the Platform for any unlawful purpose or in violation of applicable regulations; (b) submit false, misleading, or fraudulent information; (c) attempt to reverse-engineer, decompile, or extract our AI models; (d) use automated bots or scrapers to access the Platform; (e) interfere with the Platform's security, integrity, or availability; (f) impersonate any person or entity; (g) submit confidential proprietary information of third parties without authorization; (h) use the Platform to facilitate insider trading or other securities violations.

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR SPECIFIC PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGE BIOHEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $500 USD.

You agree to indemnify, defend, and hold harmless Bridge BioHealth and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) content you submit to the Platform.

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English.

You waive any right to a jury trial or class action arbitration in connection with any dispute.

We may update these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance.
